In the event of death, resignation or removal from office of a Member, the Chairperson of.the Board, through the Chairperson of the Commission, shall immediately inform the Member States in writing. Thereafter, the Chairperson of the Commission shall declare the seat vacant. The same procedure for the appointment of Members shall be followed in filling vacancies. Article 11 Election of the Chairperson and Vice-Chairperson of the Board The members. of. the Board shall elect ‘from Chairperson and the Vice Chairperson, who renewable term of two (2) years. The modalities for the election of the among themselves the shall serve for a non- Chairperson and the Vice Chairperson as well as their duties shall be defined in the Fund's Rules of Procedure. Article 12 Sessions of the Beard Board Members shall perform their functions on a part-time basis. The Board shall meet once a year in ordinary session. It may meet in extraordinary sessions at the request of the Chairperson or six (6) of the metribers, if necessary and subject to the availability of resources.
